• Player: A new person (1) that the Affiliate directs in any manner to a Client of BrightShare (2) opens a new account with such Client (3) has never been an active player in any Client of Brightshare.com or has had no account/s in any Clients of BrightShare during the last 12 month prior to the new registration date and (4) is qualified and authorized to access and use the Client’s product in accordance with the Client’s terms and conditions of use.
• 5.5. For the purposes of this Revenue share Plan, an Affiliate shall be deemed by Brightshare as an Inactive Affiliate, if the Affiliate does not deliver any new depositing Players for a period of three (3) consecutive months in any of his Plans.
   The monthly Revenue share percentage payable for an Inactive Affiliate will be adjusted to 15% for all Players’ net Revenue. Should the Inactive Affiliate deliver new depositing Players, at any time thereafter, the Affiliate shall become active and be entitled to the revenue share percentage as per the table above.

• 5.5 Automatic Termination By Us If Your Account Is Inactive. If your Affiliate Cashier Account is inactive, your Agreement and participation in the Affiliate Network will automatically terminate. In this Section, "Inactive" means where you have not requested a cash out any funds (through a withdrawal or a transfer to a Player's Account) for one hundred and eighty (180) days or more;. Where automatic termination occurs, we will notify you that your Fees will be frozen. If we do not receive any response from you within one hundred and eighty (180) days, any funds remaining within your Affiliate Cashier Account will revert to us.

• 8.1 In the event you do not, for any one hundred and eighty (180) day period, refer any Real Money Players, then the Revenue Share Plan percentage rate, as referred to in the Fees Page, for all of your referred Real Money Players across all Categories will reduce to 5% (five per cent) until such time as you refer at least one Real Money Player, at which point the Revenue Share Plan percentage rate will revert, from the point of qualification of such Real Money Player, to the relevant percentage rate as specified in the Payment Plan.

   

  8.2 In the event you do not, for any 365 day period, refer any Real Money Players then, at our sole discretion, we may take the following action: (i) immediately render any Trackers inoperative on your Real Money Players and make no further Fee payments to you for such Real Money Players; and/or (ii) immediately terminate this Agreement, in which case the provisions of Section 5.7 shall apply. Where automatic suspension occurs under this Clause 8.2, your Fees will be frozen. If we do not receive any response from you requesting withdrawal of your Fees within one hundred and eighty (180) days, any funds remaining in your Affiliate Cashier Account will automatically revert to us.

   

  8.3 Subject to Sections 8.1 and 8.2, three (3) years after a Player first registers on the Sites under a Tracker, the Revenue Share Plan percentage on that Player shall automatically be reduced based on the following table:

  ***  In the event that you: (i) do not show the most updated links provided by us, on all of your websites’ pages according to the shape and location as agreed by the parties to this Agreement; or (ii) change the type, location, or suggestion on links without prior notice and our written approval; or (iii) reduced your efforts to recruit new Players; it will be considered as non-compliance with the terms of this Agreement and we reserve the right to modify the Revenue Commission rates immediately and without any prior notice.

• 2.2 Minimum Referral Requirement

  All bet365 affiliates are required to refer a minimum of 5 active Customers within a three month period of joining the program. Should an affiliate not reach this requirement the affiliate account may be closed, but you will have the option to open a new affiliate account.

• 4.1 Referral Fee Payout Requests

  Your bet365affiliate account must have a minimum of 5 active referred Customers before you will be eligible for Referral Commission payment. Subject to clause 6, you are entitled to one payout per month, providing you have fulfilled the above Customer requirement at the end of the preceding month.

• 6. Continued Promotion

   

  You shall incorporate and prominently and continually display the most up-to-date links provided by us on all pages of your website in a manner and location agreed by us and you shall not alter the form, location or operation of the links without our prior written consent. You are eligible for Referral Commissions based upon your continued promotion of Sports at bet365, Casino at bet365, Poker at bet365, Games at bet365 or Bingo at bet365. We reserve the right to reduce Referral Commission percentages if you reduce your efforts to recruit new Customers. Your reduced or suspended promotion of our sites will be deemed to represent your termination of this Agreement.

• * At any time where 3 calendar months have passed without the Affiliate directing any Customers to the Operator’s Sites, the default Revenue Reward set out in the table above and any other Revenue Reward agreed by the parties in writing at any time shall no longer apply and instead shall be set at 5% of all Online Gaming Products and Sportsbook.
• 7.1.3Notwithstanding the provisions of clause 7.1.1 above, the Operator may immediately terminate this Agreement if it determines, at its sole discretion:
• 7.1.3.8that there is no activity in the Affiliate’s account for forty five days, in which case this Agreement will be deemed to have been terminated by the Affiliate without notice.
• Notwithstanding deemed termination pursuant to clause 7.1.3.7, any account unused for withdrawals, or otherwise inactive, for a period of at least thirty six (36) consecutive months will be an “Inactive Account”. The Operator shall notify the Affiliate that its account is an Inactive Account and that the Inactive Account Fee will be deducted if the Affiliate does not reactivate its account (“Inactive Account Notice”). The Operator shall be entitled to retain fifty (50) percent of the total balance remaining on the Inactive Account (“Inactive Account Fee”) after 14 days have elapsed from the date of the Inactive Account Notice. Should the Affiliate subsequently fail to withdraw the remaining balance from the account, the Operator shall be entitled to retain the remainder of the balance on the account without further notice to the Affiliate upon expiry of 45 days from the date of the Inactive Account Notice.

• 3.1 The Affiliate shall perform the services actively, by effectively advertising, marketing and using its best efforts to promote the Website as widely as possible. For the avoidance of doubt, the Affiliate understands and accepts that the Company shall in its sole and absolute discretion determine whether potential New Customers (as defined below in Clause 4.1) shall be accepted or not. The Company shall also in its sole and absolute discretion be entitled to determine whether to close New Customer’s account if it, in the sole opinion of the Company, is necessary to comply with the Company’s policy and/or to protect the interest of the Company and/or Mr Green.

• 4.4 The Company will pay the Affiliate commission on a monthly basis for New Customers during the term of the Agreement. The size of the monthly commissions for all New Customers referred to the Company under this Agreement will, however, correspond with the size of the commission for the current calendar month, for which the commission is to be determined in accordance with what has been described above.

   

    Example: During the first calendar month of this Agreement, three (3) New Customers are referred to the Company by the Affiliate Sites and the Affiliate therefore receives a commission of 30 % of the Net revenue shares. During the second calendar month, only one (1) New Customer is referred by the Affiliate Sites. The size of the commission (the Affiliate’s percentage share of the Net revenue) when only one (1) New Customer is referred is 25 %. The second calendar month the Affiliate therefore receives a commission of 25 % for the New Customer of that calendar month, as well as for the (3) three New Customers from the previous calendar month. During the third month, six (6) New Customers are referred by the Affiliate sites and the level of commission is 35 %. Hence the third calendar month the Affiliate receives a commission of 35 % for the six (6) New Customers of that calendar month, as well as for the four (4) New Customers which have been referred during the two previous calendar months.

   

  4.5 The Affiliate understands and accepts that the size of the commission (the Affiliate’s percentage share of the Net Revenue) will vary from time to time depending on how many New Customers are referred to the Website by the Affiliate Site(s) during each calendar month.

• Minimum Activity Qualification. Your Revenue Commission will decrease to a rate of 12.5% following a 3 month period of Affiliate Inactivity.

• 8.2. Unless otherwise agreed with your affiliate manager, our standard payment structure is to pay you (in accordance with the provisions of clause 8.5) a percentage of the Net Revenues received during the Term per Vertical for as long as Customers you deliver to us remain active.  The percentage of Net Revenues payable shall be determined by the number of Customers delivered to us during each calendar month. Please go to the Commissions page on www.ladbrokespartners.com for information on our standard % of Net Revenues payable to you in consideration of the number of Customers delivered each month to us. You will also find information on our exciting and new promotional offers for new affiliates from time to time.  :
• 8.4. At the end of a calendar month, we shall record your Revenue Share. In the event that a Revenue Share in any calendar month is a negative amount, we shall be entitled but not obliged to carry forward and set off such negative amount against all future Revenue Shares, which would otherwise be payable to you, until the negative balance is set off in full. However, we shall also be entitled but not obliged to zero out the negative balance that would otherwise be carried forward.  If a Revenue Share does not exceed £100, we shall be entitled to withhold and carry forward such sum until the end of the first calendar month in which the Revenue Share (including such carried forward sum) exceeds £100, at which time payment shall be made in accordance with clause 8.5. For the avoidance of doubt, you will only receive a payout when there is a positive balance and it is greater than £100 in any given month.
• 8.8. We reserve the right to decrease the amount of your Revenue Share to a lower percentage if during any three (3) month period you fail to deliver any new Customers.
